Articles of Incorporation of the PMBA (Filed with SEC August 8, 2001)
OF THE
PAKISAMA MUTUAL BENEFIT ASSOCIATION, INC.
KNOW ALL PERSONS BY THESE PRESENTS:
The undersigned incorporators, all of legal age and residents of the Philippines, have this day voluntarily agreed to form a non-stock and non-profit association under the laws of the Republic of the Philippines.
THAT WE HEREBY CERTIFY:
First: That the name of the said association shall be PAKISAMA Mutual Benefit Association, Inc. (PMBA).
Second: That the purpose or purposes for which such association is incorporated are:

To provide financial security to the members and their beneficiaries upon the occurrence of covered contingencies;
-
To promote and advance the various interests of the members and their beneficiaries which will enhance their social and economic well-being;
-
To establish an association with the objective of providing relief to members in times of death, accident, distress, sickness, an in other difficulties as agreed upon by between the members and the PMBA;
-
To establish an association that will encourage savings generation and provide loan protection services for the credit programs being undertaken by the association and/or its chapter organizations;
-
To establish PMBA chapters in different parts of the country in coordination with the PAKISAMA Confederation, for the above purposes and services, and with the entire range of benefits available to them as members; and
-
To establish PMBA affiliate chapters in different parts of the country, in collaboration with local self-help organizations and non-governmental organizations, for the above purposes and services, and with the entire range of benefits available to them as members.
In furtherance of the above purposes, the association will pursue the following:

To carry-out economic services for the benefit of the members such as savings and credit programs, marketing support for agri-based and aqua-based products, and other enterprise development interventions that may be of assistance to the members;

To invest funds, as it may be able to obtain from donations, grants, bequests, legacies or loans, in stock or securities from returns of which the association hopes to subsist and carry on its various activities;

To purchase, or otherwise acquire, own, hold, pledge, mortgage, assign, sell, transfer, convey, or otherwise, deal in, or transact, in any manner permitted by law, real or personal property of every kind and description or any interest therein as may be necessary to carry out its purposes; and
-
In general, to do such acts and things and to undertake such activities not otherwise prohibited by law which are calculated to help the members and their families, necessary for the accomplishment of the purpose for which the association has been formed and organized.

Eighth: That no part of the income which the association may obtain as an incident to its operation shall be distributed as dividends to its members, trustees or officers subject to the provisions of the Corporation Code on dissolution. Any profit obtained by the association as a result of its operation, whenever necessary or proper shall be used for the furtherance of the purposes enumerated in Article II, subject to the provision of Title XI of the Corporation Code of the Philippines.
Ninth: That Mrs. Lyn Dela Cruz, has been elected by the members as Treasurer of the association to act as such until his/her successor is duly elected and qualified in accordance with the by-laws; and that as such Treasurer, he/she has been authorized to receive for and in the name and for the benefit of the association all contributions, fees, dues, assessments, or donations paid or given by the members and other fraternal organizations or support agencies.
Tenth: That the association shall comply with the requirements for non-stock corporations in the course of its operation.

PAKISAMA Mutual Benefit Association, Inc.
Methods of Carrying Out Our Objectives
(Modus Operandi)
In order that the corporation can attain and achieve the declared aims and purposes for which it has been organized, the corporation will put a fund out of the contributions of each member, a portion of which will be allotted for operational expenses and the rest to support a mutual system that will provide certain benefits for members who are qualified under such rules and regulations as the Board may promulgate, subject to the approval of the Insurance Commission.
The benefits that will be available to qualified members are burial/death benefit and accident benefit and such other contingencies as may be determined under the rules and regulations of the mutual aid system.
A permanent secretariat will be established to provide and/or serve as the information center for all its members. Regular meetings will be held and an extensive study and research group will be formed to monitor the latest developments in mutual benefits association management and operations.
I, as President of the PAKISAMA Mutual Benefit Association, Inc., do hereby certify to the correctness of the above statement, in compliance with the basic requirements for the registration of the Articles of Incorporation of a non-stock, non-profit corporation.
